Terms and Conditions of Use

Gathered Hands operates solely as a neutral, online marketplace that facilitates introductions between families seeking childcare services ("Families") and childcare providers ("Nannies").

Gathered Hands does not:

• Employ, hire, or manage nannies • Act as an agent, broker, or employer • Supervise, direct, or control childcare services • Guarantee safety, conduct, legality, suitability, or outcomes

All childcare services occur independently and off the Platform, pursuant to private agreements between Families and Nannies.

Gathered Hands reserves the unrestricted right, in its sole and absolute discretion, to:

• Grant or deny admission to the Platform • Approve, reject, suspend, or revoke any user account • Decline any application or request for access • Remove any user at any time, with or without notice, and with or without cause

Admission to the Platform is not guaranteed, even if an applicant meets baseline eligibility criteria or has previously been granted access.

Nothing in these Terms obligates Gathered Hands to: • Accept any Family or Nanny • Maintain access once granted • Provide a reason for denial, suspension, or removal

All admission and access decisions are made in a non-employment, non-contractual capacity and do not create any entitlement, reliance, or expectancy interest.

Gathered Hands does not vet, certify, endorse, or guarantee any nanny.

Approval of nanny profiles is based solely on:

• A third-party background check, and • A high-level, non-substantive review of the nanny's submitted resume.

Background checks:

• Are limited in scope • May be incomplete or outdated • Do not guarantee safety, trustworthiness, competence, or suitability

Families acknowledge they must conduct their own independent screening and assume all responsibility for hiring decisions.

All Nannies approved for the Platform are required to execute a Non-Disclosure Agreement ("NDA") prior to gaining access to Family profiles and contact information.

The NDA requires Nannies to:

• Maintain strict confidentiality regarding all Family information obtained through the Platform • Refrain from disclosing Family identities, addresses, employment details, or personal circumstances to any third party • Protect sensitive information regarding children, household members, and Family affairs • Comply with confidentiality obligations both during and after any engagement

Enforcement Disclaimer

While Gathered Hands requires execution of NDAs as a condition of Platform access, enforcement of NDA terms is the responsibility of the affected Family. Gathered Hands does not monitor, investigate, or litigate NDA breaches on behalf of Families, though violations may result in immediate removal from the Platform.

Families acknowledge that NDA requirements, while providing an additional layer of protection, do not guarantee confidentiality and should supplement, not replace, their own due diligence.

You acknowledge that: • Childcare involves inherent and unforeseeable risks • Injury, illness, emotional distress, property damage, or other adverse outcomes may occur

By using the Platform, you voluntarily assume all known and unknown risks arising from interactions or relationships formed through Gathered Hands.

Families are solely responsible for: • Interviewing, selecting, and supervising nannies • Providing a lawful, safe, and non-hostile environment • Complying with all applicable employment, tax, wage, and labor laws • Payroll, tax withholding, workers' compensation, insurance, and benefits • Compliance with all child safety and household employment laws

Gathered Hands bears no responsibility or liability for Family conduct or compliance failures.

Nannies who obtain work through the Platform are not employees, agents, or representatives of Gathered Hands.

Where applicable, Nannies may be classified as employees of the Families they work for and may be compensated via W-2, as determined solely by the Family in accordance with applicable law.

Gathered Hands:

• Does not employ, hire, fire, supervise, or discipline nannies • Does not determine wages, schedules, duties, or working conditions • Does not process payroll, taxes, benefits, or insurance • Is not a joint employer or co-employer under any legal theory

All employment-related obligations rest exclusively with the Family.

Nannies are solely responsible for: • Their conduct, services, and representations • Compliance with applicable laws • Maintaining appropriate qualifications and experience • Lawful performance of childcare services

Gathered Hands makes no guarantees regarding job availability, compensation, duration, or conditions.

Users may not: • Engage in abuse, neglect, harassment, violence, or exploitation • Engage in illegal or unsafe activity • Misrepresent identity, experience, or background • Use the Platform for unlawful purposes

Gathered Hands may suspend or terminate access immediately and without refund at its sole discretion.

Users may report misconduct through our support channels. Gathered Hands takes reports seriously and may, at its sole discretion, review reported concerns and take appropriate action, which may include account suspension or removal.

However, users acknowledge that:

• Gathered Hands is not obligated to conduct formal investigations or resolve disputes between users • Any review or action taken is at Gathered Hands' sole discretion • Gathered Hands does not guarantee user safety • Gathered Hands may cooperate with law enforcement when required by law, without assuming liability

Nothing in this section creates a duty of care or investigation on the part of Gathered Hands.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

GATHERED HANDS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF SAFETY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND USER CONDUCT OR OUTCOMES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GATHERED HANDS SHALL NOT BE LIABLE FOR: • PERSONAL INJURY OR EMOTIONAL DISTRESS • CRIMINAL ACTS OF USERS • ABUSE, NEGLIGENCE, OR OMISSIONS • PROPERTY DAMAGE OR FINANCIAL LOSS

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO GATHERED HANDS BY THE USER IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Gathered Hands, its owners, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, or legal fees arising from: • Your conduct or omissions • Your services or employment relationships • Injury, abuse, or harm involving a child or nanny • Violations of law or these Terms

This obligation survives termination.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

By using the Platform, you and Gathered Hands agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any relationship between the parties shall be resolved by final and binding arbitration, rather than in court.

a. Arbitration Administrator & Rules

Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, as modified by these Terms.

b. Location & Format

Arbitration shall take place in Florida, unless otherwise required by law, and may be conducted in person, by telephone, by video conference, or through written submissions.

c. Individual Basis Only

All disputes must be brought on an individual basis only. You expressly waive any right to participate in class actions, collective actions, private attorney general actions, or representative proceedings.

d. Waiver of Jury Trial

You knowingly and voluntarily waive the right to a jury trial.

e. Costs

Gathered Hands will pay arbitration filing fees in excess of what a user would pay to file a claim in court, to the extent required by law.

f. Opt-Out Right

You may opt out of this arbitration provision by sending written notice to legal@gatheredhands.com within 30 days of first accepting these Terms. If you opt out, disputes must be resolved in court on an individual basis.

g. Survival

This arbitration provision survives termination of your account and these Terms.

Gathered Hands may terminate or suspend access at any time, with or without cause, and without refund.

All provisions relating to liability, indemnification, arbitration, assumption of risk, and discretionary admission survive termination.

If any provision is held unenforceable, the remaining provisions remain in full force.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles, to the maximum extent permitted by applicable law.

Nothing in these Terms is intended to limit or waive rights that cannot be waived under applicable state or federal law.

a. Subscription Fees

Access to certain Platform features requires a paid subscription. Current subscription fees are displayed during the registration process and may be updated from time to time with reasonable notice to subscribers.

b. Background Check Fees

Nannies are required to pay a one-time, non-refundable background check fee as a condition of Platform approval. This fee covers third-party verification services and is not refundable regardless of the outcome of the background check or application decision.

c. Billing & Renewal

Subscriptions are billed on a recurring basis (monthly or annually, as selected). Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

d. Refund Policy

Subscription fees are generally non-refundable. Refund requests may be considered on a case-by-case basis at Gathered Hands' sole discretion. Background check fees are non-refundable under all circumstances.

e. Payment Processing

Payments are processed through third-party payment processors (e.g., Stripe). By providing payment information, you authorize Gathered Hands and its payment processors to charge applicable fees. Gathered Hands does not store complete payment card information on its servers.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

a. California Residents (CCPA)

California residents have specific rights regarding their personal information under the California Consumer Privacy Act (CCPA), including the right to know what personal information is collected, the right to request deletion, and the right to opt out of the sale of personal information. Gathered Hands does not sell personal information. To exercise your rights, contact privacy@gatheredhands.com.

b. General Data Protection

Gathered Hands implements reasonable administrative, technical, and physical safeguards to protect user data. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.

To use the Platform, you must: • Be at least 18 years of age • Have the legal capacity to enter into binding agreements • Not be prohibited from using the Platform under applicable law

By using the Platform, you represent and warrant that you meet these eligibility requirements. Gathered Hands reserves the right to request verification of age or identity at any time.
